March 23, (THEWILL) — Nigeria’s Securities and Exchange Commission (SEC) has given capital market operators a six-week deadline to submit their recapitalisation plans, signalling a renewed push to strengthen the country’s financial market infrastructure.

The directive, which applies to key operators, including broker-dealers, issuing houses, and other intermediaries, is part of broader efforts to enhance market resilience, improve investor confidence, and align Nigeria’s capital market with global standards.

Under the new requirement, affected firms are expected to outline clear strategies for meeting revised minimum capital thresholds. This may include fresh equity injections, mergers and acquisitions, or other restructuring measures to boost their financial capacity and operational efficiency.

The SEC noted that the recapitalisation exercise is critical to ensuring that market operators are adequately capitalised to withstand economic shocks, manage risks effectively, and support larger transaction volumes as market activity continues to grow.

Industry analysts say the move could lead to consolidation within the sector, as smaller firms may seek partnerships or mergers to meet the new requirements within the stipulated timeframe. While this could reduce the number of operators in the short term, it is expected to result in stronger, more competitive institutions over the long term.

The six-week deadline underscores the regulator’s urgency to implement reforms designed to deepen the capital market and attract both domestic and foreign investment. Market participants are therefore under pressure to act swiftly to develop credible and compliant recapitalisation plans.
