
April 24, (THEWILL) — Nigerian Exchange Group Plc has announced plans to hold its 65th Annual General Meeting (AGM) on April 29, 2026, at 11:00 a.m. at the company’s corporate head office located at 2–4 Customs Street, Lagos.
According to the notice released by the company, shareholders will consider and, if approved, adopt the Group’s audited financial statements for the year ended December 31, 2025, together with the reports of the Directors, Auditors, Board Evaluation Consultants, and the Audit Committee.
The meeting will also deliberate on the declaration of a final dividend for the financial year and the re-election of three Non-Executive Directors retiring by rotation. The directors are Umaru Kwairanga, Ojinika Olaghere, and Okechukwu Itanyi.
Other items listed under the ordinary business include authorising the Board of Directors to fix the remuneration of the external auditors, determining the remuneration of managers, and the election of members of the Statutory Audit Committee.
As part of a special business, shareholders will consider a proposed bonus issue of one new ordinary share for every three existing shares held as at the close of business on April 10, 2026, subject to regulatory approvals.
The proposal also includes a plan to increase the company’s share capital from ₦1.102 billion to ₦1.470 billion to accommodate the bonus shares, alongside amendments to the Memorandum of Association to reflect the revised capital structure.
The company noted that the AGM will be streamed live on its website and social media platforms, enabling broader participation by shareholders and other stakeholders who may not be able to attend the meeting physically.
