November 22, (THEWILL) – Manchester City and the English Premier League will continue their legal confrontation regarding Associated Party Transaction (APT) rules during a shareholders’ meeting in London on November 23. The gathering brings together representatives from all 20 EPL clubs to vote on proposed modifications to these regulations, following a summer arbitration that found certain aspects of the rules to be unlawful.
The current dispute centres on the League’s intention to implement immediate amendments to the APT rules, whilst City maintains that more comprehensive reforms are required. The club’s legal team, led by Lord Pannick KC, argues that the regulations need systematic changes rather than quick modifications, pointing to an ongoing 90-day tribunal decision regarding the validity of the EPL’s proposed approach.
Aston Villa has publicly aligned with City’s position, with owner Nassef Sawiris stating that postponing the vote by 90 days would increase the likelihood of unanimous support from all EPL clubs. This is a potential shift in the traditional voting alliances within the League, where historical divisions between the ‘big six’ and other clubs have become less predictable.
The EPL requires a two-thirds majority – equivalent to 14 votes – for the proposed changes to pass. Should the vote succeed, the modifications will immediately enter the League’s regulatory handbook. However, City’s legal representatives have indicated their readiness to pursue further legal action if the changes are approved, particularly if the tribunal later determines the EPL’s approach to be inadequate.
The outcome of Friday’s vote carries significant implications for the clubs’ financial structures, particularly regarding shareholder loans and sponsorship arrangements. Teams such as Arsenal, Everton, and Brighton and Hove Albion, each holding more than £250 million in interest-free loans, might need to restructure their financial arrangements under the proposed changes to comply with future Profit and Sustainability Rules calculations.
